Terms of Use
These terms are an agreement between PrivexLabs Limited, the company that builds and owns Hali (“Hali”), and the agency that creates a Hali workspace (“Agency”, “you”). By creating a workspace or using Hali you accept them. If you accept on behalf of an organisation, you confirm you're authorised to do so. Clients and prospects of an Agency who use Hali through a link are covered by section 12.
1. The service
Hali helps agencies record agreed scope, client requests, change decisions, approvals, delivery and billing status. Hali records commercial information; it does not give legal, tax or accounting advice, and it does not collect or process payments.
2. Accounts and security
- Keep sign-in details confidential and enable two-factor authentication for owners.
- You're responsible for activity in your workspace and for the roles you give team members.
- Tell us promptly at security@gethali.xyz about any unauthorised use.
3. Your content and your clients' data
- You own the content you and your clients put into Hali.
- You give Hali a limited licence to host, process and display it only to provide and secure the service.
- You are the data controller for your clients' and prospects' personal data. Our Data Processing Agreement forms part of these terms.
- You confirm you have a lawful basis to share that data with Hali, and that your own privacy notice tells your clients you use Hali.
4. Records, approvals and AI suggestions
- Approvals recorded in Hali show who approved what, when, and how they were verified. Whether a record is legally binding between you and your client depends on your agreement with them and on applicable law.
- Hali's AI suggestions (for example, whether a request may be outside scope) are aids to your judgement. You remain responsible for classifications, prices and what you send to clients.
5. Acceptable use
Don't use Hali to: break the law or anyone's rights; upload malware; send spam; attempt to access other workspaces; probe or overload the service; process sensitive personal data unless necessary and lawful; or resell the service without our written agreement.
6. Integrations
Integrations you connect (such as Canva) are governed by their own terms. Each team member connects their own account, and you're responsible for what they connect. We may change or suspend an integration if the provider changes its service.
7. Fees
During the beta pilot, Hali is provided on the terms agreed in writing with you. After launch, fees will be shown at sign-up or in your order. They'll be billed in advance in Naira or US dollars, exclusive of VAT and other applicable taxes, and are non-refundable except where the law or these terms say otherwise. We'll give 30 days' notice of price changes.
8. Availability and support
We aim for 99.9% monthly availability and provide email support on Nigerian working days. Planned maintenance is announced in advance where possible.
9. Suspension and termination
- You may close your workspace at any time from Settings. It can be recovered for 30 days, then it's deleted.
- We may suspend access for serious breach, non-payment after notice, or to protect the service or others.
- Before deletion, owners can export records. Sections 3, 4, 10, 11 and 13 survive termination.
10. Warranties and liability
- We'll provide the service with reasonable skill and care. Otherwise it's provided “as is”, to the extent the law allows.
- Neither party is liable for indirect or consequential loss or lost profits.
- Our total liability in any 12 months is limited to the fees you paid us in that period [or ₦[amount] during the pilot].
- Nothing limits liability that can't be limited by law, including for fraud.
11. Intellectual property
Hali, its software and brand belong to PrivexLabs Limited. Feedback you give may be used to improve the service without obligation.
12. Clients and prospects of an Agency
If you use Hali through an Agency's page or link, your relationship is with that Agency. You may use Hali only to communicate with them about your project. Don't share your personal link, because it identifies you when you approve or decline. Your personal data is handled by the Agency as controller, and by Hali as their processor, as described in our Privacy Policy.
13. Governing law and disputes
These terms are governed by the laws of the Federal Republic of Nigeria. The parties will first try to resolve disputes in good faith within 30 days. Failing that, disputes go to arbitration in Lagos under the Arbitration and Mediation Act 2023, by a sole arbitrator, in English. Either party may seek urgent relief from Nigerian courts.
14. Changes
We may update these terms. We'll give 30 days' notice of material changes. Continuing to use Hali after that means you accept them.
